By accessing or using AutiVex (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Cyrolo LLC ("Company," "we," "our," or "us").

If you do not agree to these Terms, you may not access or use the Platform.

If you are using the Platform on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

To use AutiVex, you must:

• Be at least 16 years of age • Have the legal capacity to enter into a binding agreement • Not be prohibited from using the Platform under applicable laws • Provide accurate and complete registration information

By using the Platform, you represent and warrant that you meet all eligibility requirements.

**Account Registration:** You may need to create an account to access certain features. You agree to: • Provide accurate, current, and complete information • Maintain and update your information as needed • Keep your password secure and confidential • Notify us immediately of any unauthorized access

**Account Responsibility:** You are responsible for all activities under your account. We are not liable for any loss or damage arising from unauthorized use of your account.

**Account Termination:** We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

You agree NOT to:

**Content Violations:** • Post false, misleading, or defamatory reviews • Submit reviews for businesses you have no genuine experience with • Create fake reviews for compensation (paid reviews) • Impersonate another person or entity • Post content that infringes intellectual property rights

**Platform Abuse:** • Attempt to circumvent security measures • Use automated systems (bots, scrapers) without permission • Interfere with platform operations • Exploit vulnerabilities or bugs • Access accounts or data belonging to others

**Harmful Activities:** • Harass, threaten, or abuse other users • Post illegal, harmful, or offensive content • Engage in spam or unsolicited advertising • Promote violence, discrimination, or illegal activities

Violations may result in content removal, account suspension, or legal action.

**Review Guidelines:** Reviews must be: • Based on genuine personal experience • Honest and accurate • Written by the actual customer (not paid writers) • Compliant with our content policies

**Content Ownership:** You retain ownership of content you submit. By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content on the Platform.

**Content Moderation:** We reserve the right to: • Remove content that violates these Terms • Flag suspicious reviews for verification • Use AI and manual review to detect fraudulent content • Respond to legal requests regarding content

**Business Responses:** Businesses may respond to reviews. Responses must be professional and comply with these Terms.

**Business Profiles:** Businesses can claim and manage their profiles on AutiVex. By claiming a profile, you represent that you are authorized to act on behalf of that business.

**Subscription Plans:** We offer free and paid subscription plans: • Free Plan: Basic profile management • Pro Plan: Enhanced features, analytics, and response tools • Enterprise Plan: Custom solutions for large organizations

**Payment Terms:** • Payments are processed securely through Stripe • Subscriptions renew automatically unless cancelled • Refunds are provided according to our refund policy • Prices may change with 30 days notice

**Cancellation:** You may cancel your subscription at any time. Access continues until the end of the billing period.

**Our Property:** The Platform, including its design, features, content, and trademarks, is owned by Cyrolo LLC and protected by intellectual property laws.

**Limited License:** We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose.

**Restrictions:** You may not: • Copy, modify, or distribute our intellectual property • Reverse engineer or decompile the Platform • Remove copyright or trademark notices • Use our trademarks without permission

**Your Content:** You retain ownership of content you create, subject to the license granted in Section 5.

**AS-IS Service:** THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: • Merchantability • Fitness for a particular purpose • Non-infringement • Accuracy or completeness

**Review Accuracy:** We do not guarantee the accuracy of user-submitted reviews. Reviews represent individual opinions and experiences.

**Business Information:** Business information is provided for informational purposes. We are not responsible for the accuracy of business details.

**Availability:** We do not guarantee uninterrupted or error-free service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

**Exclusion of Damages:** We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including: • Lost profits or revenue • Data loss • Business interruption • Loss of goodwill

**Liability Cap:** Our total liability shall not exceed the greater of: • $100 USD • The amount you paid us in the 12 months preceding the claim

**Exceptions:** These limitations do not apply to liability that cannot be excluded by law.

You agree to indemnify, defend, and hold harmless Cyrolo LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Platform • Your violation of these Terms • Your content or reviews • Your violation of any third-party rights • Any dispute between you and another user or business

**Informal Resolution:** Before filing a formal dispute, you agree to contact us at legal@autivex.com to attempt informal resolution.

**Arbitration Agreement:** Any disputes that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

**Class Action Waiver:** You agree to resolve disputes on an individual basis. You waive the right to participate in class actions, class arbitrations, or representative actions.

**Exceptions:** Either party may seek injunctive relief in court for intellectual property violations or emergency situations.

**Governing Law:** These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles.

**By You:** You may terminate your account at any time by contacting us or using account settings.

**By Us:** We may suspend or terminate your account if you: • Violate these Terms • Engage in fraudulent activity • Pose a security risk • Are required by law

**Effect of Termination:** Upon termination: • Your right to use the Platform ends immediately • Your content may be retained or deleted at our discretion • Provisions that should survive termination will remain in effect

We may update these Terms from time to time. We will notify you of material changes by:

• Posting updated Terms on this page • Updating the "Last Updated" date • Sending email notification for significant changes

Continued use of the Platform after changes constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Platform.
